Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ERP Solar ("Company," "we," "us," or "our"), governing your access to and use of the Solar ERP platform, available at erpsolar.com and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

Solar ERP is a cloud-based, multi-tenant enterprise resource planning (ERP) platform designed for solar installation companies. The Service provides tools for customer relationship management, project pipeline management, work order scheduling, inventory tracking, fleet management, financial operations, solar system monitoring, human resources, compliance management, and third-party integrations.

3. Account Registration and Security

3.1 Eligibility. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3.2 Account Creation. To access the Service, you must register an account with accurate, complete, and current information. Each organization ("Tenant") is assigned a separate, isolated data environment.

3.3 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.4 User Roles. Account owners may invite additional users and assign roles (e.g., owner, admin, executive, sales manager, sales representative, installer, inventory specialist) with corresponding access permissions. Account owners are responsible for managing access levels within their organization.

4. Multi-Tenant Data Isolation

4.1 Tenant Isolation. The Service operates on a multi-tenant architecture. Each organization's data is logically isolated from other organizations through row-level security policies enforced at the database level.

4.2 Data Ownership. You retain all ownership rights to the data you submit to the Service ("Your Data"). We do not claim any ownership interest in Your Data.

4.3 No Cross-Tenant Access. Users within one organization cannot access, view, modify, or delete data belonging to another organization. This isolation is enforced by the platform and cannot be overridden by users.

5. Permitted Use and Restrictions

5.1 Permitted Use. You may use the Service solely for your internal business operations related to solar energy installation and management.

5.2 Restrictions. You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Use the Service to transmit malware, spam, or unlawful content
  • Sublicense, resell, or redistribute the Service to third parties
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service beyond normal API usage
  • Violate any applicable laws, regulations, or third-party rights

6. Third-Party Integrations

6.1 Connected Services. The Service enables integrations with third-party platforms including, but not limited to, Intuit QuickBooks, Enphase Energy, SolarEdge, Tesla, OpenSolar, Google Calendar, and Resend (email delivery). These integrations are provided for your convenience.

6.2 Authorization. By connecting a third-party service, you authorize Solar ERP to exchange data with that service on your behalf using industry-standard protocols (OAuth 2.0, API keys, or webhooks as applicable). You may revoke this authorization at any time through the Service's settings.

6.3 Third-Party Terms. Your use of third-party services is subject to the respective terms and privacy policies of those providers. We are not responsible for the availability, accuracy, or practices of third-party services.

6.4 Data Sync. Data synchronized between the Service and third-party platforms may be subject to the data handling policies of both platforms. You are responsible for ensuring compliance with applicable regulations when transferring data to third-party services.

7. AI-Powered Features

7.1 AI Assistant. The Service includes an AI-powered assistant that provides business insights, answers questions, and assists with operational tasks. AI responses are generated by third-party large language models and are provided for informational purposes only.

7.2 No Guarantee of Accuracy. AI-generated content may contain errors or inaccuracies. You should independently verify any information provided by the AI assistant before relying on it for business decisions.

7.3 Usage Limits. AI features may be subject to rate limits based on your account role and subscription tier.

8. Payment and Billing

8.1 Fees. Access to the Service may require payment of subscription fees as described on our pricing page. All fees are quoted in U.S. dollars unless otherwise stated.

8.2 Billing Cycle. Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase.

8.3 Refunds. Fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement.

9. Intellectual Property

9.1 Our IP. The Service, including its source code, design, algorithms, documentation, and all associated intellectual property, is owned by ERP Solar and protected by copyright, trademark, and other intellectual property laws.

9.2 License Grant. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

9.3 Feedback. If you provide feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without restriction.

10. Data Handling and Compliance

10.1 Sensitive Data. The Service may process personally identifiable information (PII), financial records, employee information, and tax-related data (including W-9 and 1099-NEC information). You are responsible for ensuring you have the legal basis to submit such data to the Service.

10.2 Tax Compliance. Features related to 1099-NEC generation and compliance reporting are provided as tools to assist your compliance efforts. They do not constitute tax advice. You are solely responsible for the accuracy of tax filings and compliance with IRS regulations.

10.3 Data Processing. Our handling of personal data is described in our Privacy Policy.

11. Service Availability and Support

11.1 Uptime. We make commercially reasonable efforts to maintain the availability of the Service but do not guarantee uninterrupted or error-free operation.

11.2 Maintenance. We may perform scheduled or emergency maintenance that temporarily affects availability. We will provide advance notice when practicable.

11.3 Support. Technical support is available through the in-app feedback system and via our contact form.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ERP SOLAR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

12.2 OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

14. Indemnification

You agree to indemnify, defend, and hold harmless ERP Solar, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

15. Termination

15.1 By You. You may terminate your account at any time by contacting us through our contact form. Upon termination, your right to access the Service will cease.

15.2 By Us. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any reason with thirty (30) days' prior notice.

15.3 Data After Termination. Upon termination, we will retain Your Data for thirty (30) days to allow data export. After this period, we may delete Your Data in accordance with our data retention policies.

16. Governing Law and Dispute Resolution

16.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

16.2 Dispute Resolution. Any dispute arising under these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Denver, Colorado, in accordance with the rules of the American Arbitration Association.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice within the Service at least thirty (30) days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. General Provisions

18.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ERP Solar with respect to the Service.

18.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver. No waiver of any term shall be deemed a continuing or further waiver of such term or any other term.

18.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
